3. USER RESPONSIBILITIES

4. PAYMENTS & BILLING
4.1 Quotations & Pricing
• All quotations are valid for 30 days from the date of issue.
• Prices may vary depending on scope, complexity, and additional requirements.
4.2 Payment Terms
• As per document shared with client as scope of work / contract.
4.3 Late Payments & Suspension
• Payments must be completed within 14 days of invoice issuance.
• If payments are not received, services may be suspended or terminated.
• A 15% late fee may be charged if payment is overdue beyond 30 days.
5. REFUND POLICY

6. INTELLECTUAL PROPERTY RIGHTS
6.1 Ownership
• All code, software, designs, and proprietary materials developed by Reptile IT Service remain its intellectual property unless otherwise agreed in writing.
6.2 Client Ownership
• Clients own all final deliverables after full payment is received.
6.3 Restrictions
• Clients may not resell, redistribute, or modify Reptile IT Service’s software or source code without explicit permission.
7. THIRD-PARTY SERVICES & INTEGRATIONS
7.1 Hosting & Domains
• If Reptile IT Service provides hosting or domain registration services, third-party service terms apply.
• Reptile IT Service is not responsible for downtime,data loss,or security breaches of third-party services.
7.2 External Software & Plugins
• Reptile IT Service may use licensed third-party tools for development.
• Clients must acquire valid licenses if required for third-party software or plugins.
8. CONFIDENTIALITY & DATA SECURITY
8.1 Confidential Information
• Both parties must maintain confidentiality of shared business data, source code, and sensitive information.
8.2 Data Privacy & Security
• Reptile IT Service follows industry security practices to safeguard client data.
• Clients must comply with Indian IT laws & GDPR (where applicable).
• Refer to our Privacy Policy for details on data usage.
9. SERVICE TERMINATION
9.1 By Client
• Clients may terminate the agreement before project completion by written notice.
• In such cases, refund shall be governed by our Refund Policy.
9.2 By Reptile IT Service
• We may terminate services if a client violates our Terms, misuses our services, or fails to make payments.
• Immediate suspension may occur for fraudulent or illegal activities.
10. DISCLAIMER & LIMITATION OF LIABILITY
10.1 No Warranties
• Reptile IT Service provides services “as is” without warranties of any kind.
• We do not guarantee uninterrupted service, error-free performance, or specific project outcomes.
10.2 Liability Limitation
• Reptile IT Service’s maximum liability is limited to the total amount paid by the client in the last six months.
• We are not responsible for indirect damages, data loss, or revenue loss due to service issues.
11. FORCE MAJEURE
Reptile IT Service shall not be liable for service failures or delays caused by:
• Natural disasters (earthquakes, floods)
• Internet outages, cyberattacks
• Government regulations or legal restrictions
• Third-party service failures
12. GOVERNING LAW & DISPUTE RESOLUTION
• These Terms are governed by the laws of India.
• Any disputes will be resolved through arbitration in New Delhi under the Arbitration and Conciliation Act, 1996.
13. CHANGES TO TERMS & CONDITIONS
Reptile IT Service reserves the right to modify these Terms at any time.
